By creating an account or using Proviso, you agree to these Terms of Service. If you are using Proviso on behalf of a company, you represent that you have authority to bind that company to these terms.
If you do not agree with these terms, do not use Proviso.
Proviso is a contract review tool distributed as a Microsoft Word add-in. It uses AI to assist lawyers in reviewing, analyzing, and drafting contract language. The service includes access to the Word add-in, the Proviso web application, and any associated features described on proviso.legal.
We may update, modify, or discontinue features over time. We will give reasonable notice for material changes. REVIEW NEEDED — define "reasonable notice" period, e.g., 30 days
Proviso is offered on a monthly subscription basis. Your subscription renews automatically each month until you cancel. Pricing is listed on proviso.legal and may change with 30 days' notice.
Billing. Payment is processed by Stripe. By subscribing, you authorize Stripe to charge your payment method on the recurring billing date.
Cancellation. You can cancel anytime from your account settings or by emailing [email protected]. Cancellation takes effect at the end of the current billing period. Failed payments. If a payment fails, we will retry and notify you. If payment remains outstanding after a reasonable period, we may suspend or terminate your access.
Proviso is intended for use by in-house legal counsel, transactional attorneys, and legal professionals reviewing contracts in the course of their practice.

We reserve the right to suspend or terminate accounts for material violations of these terms.
Proviso is an AI tool, not a law firm. Outputs generated by Proviso — including issue flags, risk assessments, and suggested language — are AI-generated and have not been reviewed by licensed counsel. A qualified lawyer must review all outputs before relying on them for any legal matter.
Proviso does not create an attorney-client relationship. Use of the service does not substitute for independent legal judgment. We are not responsible for decisions made based on Proviso's outputs without appropriate human review.
If you use Proviso in BYOK mode, you provide your own API key from Anthropic or OpenAI. By doing so, you acknowledge that:
Your content. You retain all ownership rights to your contracts, documents, and any AI-generated outputs produced through your use of Proviso. We claim no ownership or license over your content.
Proviso's IP. The Proviso software, add-in, website, prompts, and all related technology are owned by Proviso and protected by applicable intellectual property laws. These terms do not grant you any ownership rights in Proviso's technology.
Feedback. If you send us feedback or feature suggestions, we may use them to improve the product without any obligation to you.
To the fullest extent permitted by law, Proviso and its operators shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the service — including, but not limited to, missed contract issues, errors in AI-generated analysis, lost profits, or damages resulting from reliance on AI outputs without independent legal review.
Our total liability to you for any claim arising from these terms or your use of the service shall not exceed the total amount you paid to Proviso in the 12 months preceding the claim.
Some jurisdictions do not allow certain liability exclusions. In those cases, our liability is limited to the maximum extent permitted by law.

Proviso is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or that AI outputs will be accurate, complete, or suitable for any particular purpose.
AI models can and do make mistakes. No legal review tool — AI-powered or otherwise — catches everything. Proviso is designed to reduce misses, not guarantee perfect review.
You agree to indemnify and hold harmless Proviso and its operators from any claims, damages, or expenses (including reasonable attorney's fees) arising from: (a) your use of the service in violation of these terms; (b) your violation of any applicable law or third-party right; or (c) your use of AI-generated outputs in legal matters without appropriate human review.
You may cancel your account at any time. We may suspend or terminate your account if you violate these terms, if you fail to pay your subscription fees, or if we reasonably believe continued access poses legal or security risk.
Upon termination, your access to the service ends at the close of your current billing period. Because we do not store your contracts, there is no document data to be returned or deleted on our end.
These terms are governed by the laws of the State of Illinois, without regard to conflict of law principles.
Any dispute arising from these terms or your use of Proviso shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Chicago, Illinois under the rules of the American Arbitration Association. Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction for matters involving intellectual property or confidentiality.
We may update these terms from time to time. Material changes will be communicated by email or by a notice on the site at least 14 days before they take effect. Continued use of Proviso after changes take effect constitutes acceptance. The current version is always at proviso.legal/terms.
Entire agreement. These terms, together with our Privacy Policy, constitute the entire agreement between you and Proviso regarding the service.
Severability. If any provision of these terms is held unenforceable, the remaining provisions continue in full force.
No waiver. Our failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.
Assignment. You may not assign these terms without our written consent. We may assign these terms in connection with a merger, acquisition, or sale of assets.
