1. Acceptance of Terms

By creating an account, purchasing a subscription, or using Proviso (the "Service"), you agree to be bound by these Terms of Service. If you're agreeing on behalf of a company or organization, you represent that you have authority to bind that entity.

If you don't agree to these terms, don't use the Service.

2. What Proviso Is

Proviso is a Microsoft Word add-in that helps transactional lawyers review contracts using AI. We provide the software — the intelligence layer that structures your review, flags issues, and formats output inside Word.

BYOK (Bring Your Own Key): On BYOK plans, your contract text goes directly from Word to your chosen LLM provider (Anthropic, OpenAI, etc.) using your own API key. Proviso's servers never see the content of your documents — only your license key, seat activation metadata, and aggregate usage statistics.

On Managed plans, contract text is processed via Anthropic's Claude API under a zero-data-retention agreement. Anthropic does not use API-submitted data to train models.

3. Subscriptions & Billing

Auto-renewal. Subscriptions are billed monthly and auto-renew at the end of each billing period. You authorize us to charge your payment method on file for each renewal.

Cancel anytime. You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period — you keep access until then.

No refunds on the current period. We don't issue refunds or credits for any partial month or unused portion of your current subscription period. If you cancel, you won't be charged going forward, but you won't receive a refund for what you've already paid.

Price changes. We may change subscription prices with 30 days' notice. If you don't cancel before the price change takes effect, you consent to the new price.

Payment processing. Payments are handled by Stripe. We don't store your full card details.

Taxes. Prices are exclusive of applicable taxes. You're responsible for any taxes assessed on your purchase.

4. Seat Limits & Access

Each subscription plan includes a defined number of seats (active users). Each seat corresponds to one licensed installation of Proviso. Seat limits are enforced by license key activation.

You may not share, resell, sublicense, or transfer access credentials to parties outside your organization. If you need additional seats, contact us at [email protected] to discuss your options.

We reserve the right to deactivate seats in excess of your plan limit.

5. Acceptable Use

Proviso is designed for legal professionals reviewing contracts in a professional context. You agree to use the Service only for lawful purposes consistent with that intent.

You may not:

6. AI Output & Your Responsibility

Proviso is a tool, not a lawyer. The AI-generated analysis, issue flags, and summaries provided by Proviso are not legal advice and should not be relied upon as a substitute for your own professional judgment.

You are solely responsible for reviewing, validating, and acting on any output generated by the Service. AI can miss things, misclassify provisions, or generate inaccurate summaries. You know your deal, your client, and your context — the AI doesn't.

We make no warranty that the AI output is accurate, complete, or appropriate for any particular legal matter. Use it as one input among many, not as a final answer.

By using the Service, you acknowledge that: (a) you are a qualified legal professional capable of evaluating AI-generated output; and (b) you take full professional responsibility for any work product you produce using the Service.

7. Intellectual Property

Your data is yours. You retain all ownership rights to the documents you review and any output you create. We don't claim any rights to your contracts, drafts, or work product.

Our software is ours. Proviso, the add-in, the software, the underlying review framework, and all related intellectual property belong to us. These Terms give you a limited, non-exclusive, non-transferable license to use the Service during your subscription term.

Feedback. If you share feedback, suggestions, or ideas about the Service, we may use them without restriction or compensation to you. We appreciate it, but we can't make promises about what we'll do with it.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Proviso and its owners, officers, and agents will not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Service — including but not limited to lost profits, lost data, business interruption, or any claim related to AI-generated output.

Our total liability to you for any claim arising under these Terms is limited to the subscription fees you actually paid to us in the three (3) months immediately preceding the claim.

Some jurisdictions don't allow exclusions or limitations of liability, so some of the above may not apply to you.

9. Termination

By you. Cancel any time. Access continues through the end of your paid period.

By us. We may suspend or terminate your account immediately if you violate these Terms, particularly the Acceptable Use section. We'll try to give you notice unless doing so would compromise security or legal obligations.

On termination, your license to use the Service ends. Provisions that by their nature should survive termination (including limitation of liability, IP ownership, and governing law) will survive.

10. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of law principles. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois.

If you're using the Service outside the United States, you do so at your own initiative and are responsible for compliance with local laws.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we'll update the "Last updated" date at the top and, for material changes, notify you by email or via an in-app notice.

Continued use of the Service after changes take effect constitutes your acceptance of the new Terms. If you don't agree to changes, cancel your subscription before they take effect.
