MASTER SERVICES AGREEMENT
This Agreement is entered into as of January 1, 2026 between Acme Corp. ("Client") and Vendor Solutions LLC ("Vendor").
8. INDEMNIFICATION
Vendor shall indemnify, defend, and hold harmless Client from any and all claims, damages, losses, and expenses arising out of or related to Vendor's performance hereunder, with no limitation on liability.
Client's sole obligation shall be to provide written notice within 30 days of any claim.
9. INTELLECTUAL PROPERTY
All work product, inventions, and developments conceived by Vendor, whether or not related to the Services, shall be the sole property of Client. Vendor waives all moral rights.
10. TERM & RENEWAL
This Agreement renews automatically unless either party provides 90 days written notice prior to the end of the then-current term.
Governing law shall be the laws of the State of New York.
